Terms of Service

These Terms establish the rules for accessing and using YowSpare's web, mobile, and related inventory management services. They are written for organizations that need a clear, accountable framework for running business-critical stock operations.

By creating an account, accepting an Order Form, or using the Service, you agree to these Terms. If you act for an organization, you confirm that you have authority to bind that organization.

1. Agreement and contract hierarchy

These Terms form a binding agreement between the person or organization using the Service (the "Customer") and the YowSpare contracting entity identified in the applicable Order Form, subscription confirmation, or invoice ("YowSpare", "we", or "us").

The agreement may also include an Order Form, a data processing agreement, a service-level agreement, and policies expressly incorporated by reference. If documents conflict, the Order Form controls commercial terms, the data processing agreement controls personal-data processing, and these Terms control all other matters, unless the parties agree otherwise in writing.

2. The Service

YowSpare provides web and mobile tools for managing enterprise inventory, including products, categories, suppliers, warehouses, bins, receipts, stock movements, requests, approvals, work orders, reports, and organization administration. Features available to a Customer depend on its plan, configuration, permissions, and deployment environment.

Subject to this agreement and payment of applicable fees, YowSpare grants the Customer a limited, non-exclusive, non-transferable right to access and use the Service for its internal business operations during the subscription term.

3. Accounts and organization administration

The Customer must provide accurate account information and keep it current. Each account is personal to its authorized user. Credentials may not be shared, and the Customer must promptly report suspected unauthorized access.

The organization owner and designated administrators are responsible for inviting users, assigning roles, configuring permissions, selecting agencies and departments, and approving access to Customer Data. Actions performed through an administrator account are treated as authorized by the Customer unless YowSpare has been notified of a compromise.

4. Acceptable use

The Customer and its users must use the Service lawfully, follow documented operating limits, and avoid conduct that could compromise the Service or other customers.

  • Do not attempt to bypass authentication, tenant isolation, role permissions, or usage limits.
  • Do not upload malicious code, unlawfully collected data, or content that infringes third-party rights.
  • Do not reverse engineer, resell, sublicense, or use the Service to build a competing product, except where applicable law expressly permits it.
  • Do not disrupt infrastructure, probe vulnerabilities without written authorization, or use automated access that materially degrades the Service.

5. Customer responsibilities

The Customer is responsible for its inventory policies, source records, approvals, physical stock controls, and the accuracy of data entered by its users. YowSpare supports operational decisions but does not replace physical verification, accounting controls, safety procedures, or professional judgment.

The Customer must configure role-based access according to least-privilege principles, review access regularly, and ensure that users are trained for the operations they perform. The Customer is also responsible for compatible devices, network access, and any internal system connected to the Service.

The Customer controls and is responsible for Customer Data copied outside the Service through browser storage, offline records, downloads, exports, printouts, screenshots, email, backups, shared drives, personal devices, or third-party tools. It must define appropriate access, retention, encryption, sharing, and deletion rules for those copies.

6. Offline operation and synchronization

Some YowSpare clients may allow authorized users to view or record selected data while connectivity is unavailable. Offline data can be incomplete, outdated, or affected by operations performed on another device. A locally recorded action is not the final shared system state until synchronization succeeds and server-side validation is complete.

The Customer must review synchronization warnings and conflicts before relying on quantities, reservations, approvals, or stock locations for irreversible operations. Availability of offline features varies by device, operating system, browser, plan, and configuration.

7. Plans, fees, and taxes

Plans, usage allowances, subscription periods, prices, and payment terms are stated on the applicable Order Form or at checkout. Unless that document states otherwise, fees are non-refundable, due in the invoiced currency, and exclusive of taxes, duties, and bank charges for which the Customer is responsible.

Renewal and price-change terms are governed by the Order Form or subscription confirmation. YowSpare will provide notice of material pricing changes before they apply to a renewal period. Failure to pay undisputed fees may result in restricted access or suspension after reasonable notice.

8. Customer Data and privacy

The Customer retains all rights in data, files, images, records, and content submitted to the Service by or for the Customer ("Customer Data"). The Customer grants YowSpare the limited rights necessary to host, process, transmit, back up, and display Customer Data solely to provide, secure, support, and improve the Service.

The Customer is responsible for having a lawful basis to collect and process Customer Data and for providing required notices to its users, employees, suppliers, and other data subjects. Personal data is handled under the Privacy Policy and, where applicable, a signed data processing agreement.

Cookies, browser storage, PWA caches, device technologies, and any advertising or campaign-measurement tools are governed by the Cookies & Advertising Notice. That notice forms part of the Service's privacy and transparency framework.

9. Security and incident cooperation

YowSpare maintains technical and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Service. Security is a shared responsibility: the Customer must protect credentials, endpoints, integrations, exports, and administrator access under its control.

Each party will promptly notify the other of a confirmed security incident that materially affects the other party's systems or data and will reasonably cooperate with investigation, containment, and legally required notifications. Current security information is available on the Security page.

10. Third-party services and integrations

The Service may interoperate with hosting providers, identity services, payment providers, application stores, email services, APIs, or Customer-selected integrations. Third-party products are governed by their own terms and are not controlled by YowSpare.

YowSpare is not responsible for a third party's availability, changes, or handling of data outside YowSpare's control. The Customer authorizes data exchange requested through integrations it enables and is responsible for reviewing the provider's terms before activation.

The Customer must protect API keys, webhook secrets, access tokens, endpoint configurations, mappings, retries, logs, and connected systems under its control. YowSpare may restrict an integration when reasonably necessary to address abuse, excessive load, non-payment, legal non-compliance, or a material security risk.

11. Intellectual property and feedback

YowSpare and its licensors retain all rights in the Service, software, design, documentation, trademarks, and related technology. Except for the access right expressly granted in these Terms, no intellectual-property rights are transferred to the Customer.

If the Customer provides suggestions or feedback, YowSpare may use them without restriction or payment, provided that doing so does not identify the Customer or disclose its Confidential Information. YowSpare will not use Customer Data to train a public or third-party artificial-intelligence model unless the Customer expressly agrees in writing.

12. Confidentiality

Each party may receive non-public business, technical, financial, or security information from the other ("Confidential Information"). The receiving party will use it only to perform this agreement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are bound by confidentiality obligations.

Confidential Information excludes information that becomes public without breach, was lawfully known without restriction, is received lawfully from another source, or is independently developed. Legally compelled disclosure is permitted after notice where the law allows it.

13. Availability, support, and changes

YowSpare works to provide a reliable Service, but availability targets, support response times, maintenance windows, and service credits apply only when expressly stated in an Order Form or service-level agreement. Preview, beta, and evaluation features are provided without production commitments and may change or end at any time.

YowSpare may update the Service to improve security, performance, usability, or legal compliance. We will provide reasonable advance notice when a material change is expected to substantially reduce core functionality purchased for an active subscription, except when urgent security, legal, or third-party changes require faster action.

14. Suspension, termination, and data return

Either party may terminate as provided in the Order Form. A party may also terminate for a material breach that remains uncured after reasonable written notice, or immediately when continued performance would violate law. YowSpare may suspend access when reasonably necessary to address a security risk, unlawful use, material service disruption, or overdue undisputed fees.

On termination, the Customer's access ends and outstanding fees become due. Subject to technical and legal constraints, YowSpare will provide a reasonable opportunity to export Customer Data as stated in the applicable plan or Order Form. After that period, data may be deleted or anonymized, except where retention is legally required.

15. Warranties and disclaimers

Each party warrants that it has authority to enter into this agreement. YowSpare warrants that the Service will perform materially in accordance with its applicable documentation under normal authorized use. The Customer's exclusive remedy for a verified breach of this warranty is correction, re-performance, or termination and refund of prepaid fees for the affected unused period, at YowSpare's reasonable option.

To the maximum extent permitted by law, the Service is otherwise provided without implied warranties, including merchantability, fitness for a particular purpose, uninterrupted operation, or error-free results. YowSpare does not guarantee that digital records always match physical inventory without proper Customer controls and reconciliation.

16. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential damages, or for lost profits, revenue, goodwill, or business interruption arising from this agreement, even if advised that such loss was possible.

Except for payment obligations, fraud, willful misconduct, infringement or misappropriation of intellectual-property rights, breach of confidentiality, or liability that cannot legally be limited, each party's aggregate liability arising from the Service will not exceed the fees paid or payable by the Customer for the Service during the twelve months preceding the event giving rise to the claim.

17. Governing law and disputes

This agreement is governed by the law and jurisdiction identified in the applicable Order Form or subscription confirmation. If no governing law is specified, the law and competent courts associated with the YowSpare contracting entity identified on the Customer's invoice apply, subject to mandatory law. Before filing formal proceedings, the parties will attempt in good faith to resolve a dispute through written notice and management-level discussion for at least thirty days.

Any valid arbitration or jurisdiction clause in the applicable Order Form takes priority for the relevant engagement. Nothing prevents either party from seeking urgent protective or injunctive relief where legally available.

18. General terms and notices

Neither party may assign this agreement without the other's consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the assignee accepts these obligations. Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms and incorporated documents are the entire agreement concerning the Service. Legal notices must be sent through the contact details below and to the Customer account or billing contact on record.
